Important Legal Agreement
By accessing, registering on, or using this website, you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions. Please read them carefully before proceeding.
Introduction & Company Information
These Terms and Conditions ("Terms") govern the use of the website, platform, and services operated by Capital-Free Ventures ("the Company," "we," "us," or "our").
Capital-Free Ventures is a business operating in Zimbabwe and provides a company-owned online platform through which individuals may register as agents for the purpose of participating in the Company's goods distribution and resale program.
This website is not a marketplace for third-party sellers. All activities, goods, and services provided through the platform are administered and controlled by the Company unless otherwise stated.
By accessing, registering on, or using this website, you ("the Agent," "you," or "the User") confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions.
Eligibility and Registration
2.1. The platform and services of Capital-Free Ventures are available only to individuals who are eighteen (18) years of age or older.
2.2. To register as an agent, an applicant must provide accurate, complete, and verifiable information, including but not limited to:
- A valid national identification document
- Proof of address
- Proof of residence
- A valid mobile phone number registered in the applicant's own name and linked to EcoCash for verification and transaction purposes
2.3. The Company reserves the absolute right, at its sole discretion, to approve or reject any application for registration without any obligation to provide reasons.
2.4. Each individual is permitted to maintain only one (1) account on the platform. The creation or use of multiple accounts by the same person, whether directly or indirectly, is strictly prohibited.
2.5. The Agent warrants that all information provided during registration and at any time thereafter is true, accurate, complete, and up to date. The Company reserves the right to suspend or terminate any account found to contain false, misleading, or incomplete information.
Orders, Goods, Sales Period, Returns & Ranking System
3.1. Agents may place orders through the platform for goods they wish to receive and resell. The placement of an order does not require any upfront payment and constitutes only a request to the Company for the allocation of goods.
3.2. All orders are subject to review and approval by the Company. Upon approval of an order, the Agent shall be entitled to collect the approved goods from the Company's designated warehouse or collection point within the time period specified by the Company. Failure to collect the goods within such time period shall result in the automatic cancellation of the order, and the goods shall be returned to the Company's available stock.
3.3. Where the Agent elects to have the goods delivered, such delivery shall be subject to a separate delivery fee, which is not part of the goods' base price and shall be payable by the Agent upon delivery.
Ranking and Limit System
3.4. The Company operates a ranking and limit system under which each Agent is assigned a level that determines the maximum value or quantity of goods that such Agent may order. Agents earn points through successful sales and repayment of base prices, and such points may qualify the Agent for higher levels and associated benefits. The Company reserves the right to determine, modify, or withdraw the ranking system, levels, limits, and benefits at its discretion.
3.5. Each order shall be subject to a fixed selling period, the duration of which may vary depending on the Agent's level. Upon collection or delivery of the goods, a countdown timer shall appear in the Agent's account reflecting the remaining selling period. The Company may also send reminders by email or through the platform; however, failure to receive such reminders shall not relieve the Agent of any obligations.
3.6. The Agent undertakes to sell the goods and to pay the Company the full base price of the goods in respect of each order within the applicable selling period and in any event no later than the stated deadline.
3.7. In the event that the Agent fails to sell any or all of the goods within the selling period, the Agent shall be obliged to return all unsold goods to the Company before the deadline, in their original condition, packaging, and form, fair wear and tear excepted.
3.8. If any goods are lost, stolen, damaged, destroyed, or rendered unsellable while under the Agent's possession or control, the Agent shall be solely responsible and shall be required to pay the Company the full base price of such goods, and the Agent shall retain such goods.
3.9. Once an order has been approved by the Company, the base price of the goods shall not be changed in respect of that order.
3.10. All prices are stated in United States Dollars (USD). Where the Agent elects to pay using any alternative currency or payment method, including EcoCash or any other mobile or electronic payment system, the applicable exchange rate or conversion rate shall be determined and communicated by the Company or its administrators at the time of payment and shall be binding on the Agent.
3.11. The Company reserves the right to amend selling periods, deadlines, procedures, and operational rules from time to time. Agents are responsible for checking their accounts, notifications, and emails for any such updates.
3.12. The Company further reserves the right to change, modify, or update these rules and systems at any time, provided that reasonable notice of such changes shall be given to Agents through the platform, email, or other communication channels.
Agent Obligations, Conduct & Responsibility for Sales
4.1. The Agent shall have full discretion as to how, where, and to whom the goods are marketed or sold, provided that the Agent remains fully and solely responsible for complying with all obligations under these Terms.
4.2. The Agent may sell goods for cash, on credit, or under any other arrangement of their choosing. However, any failure or delay by the Agent's customers to pay the Agent shall not affect or delay the Agent's obligation to pay the Company the full base price or to return the goods within the prescribed deadline.
4.3. The Company shall not be a party to, and shall bear no responsibility for, any agreement, dispute, or non-payment between the Agent and the Agent's customers. Where an Agent elects to sell goods on credit, the Agent does so entirely at their own risk.
4.4. The Agent acknowledges that if, for any reason, the Agent has not received payment from their customer, the Agent may nonetheless be required to pay the Company the base price from their own funds or return the goods in accordance with these Terms.
4.5. The Agent is permitted to advertise and market the goods using the Company's name, branding, and promotional materials. The Company grants the Agent a limited, revocable, non-exclusive license to download and use product images and marketing materials made available on the platform solely for the purpose of marketing the Company's goods.
4.6. Such permission shall not confer any ownership rights in the Company's trademarks, brand, or intellectual property, and the Company reserves the right to withdraw or restrict such permission at any time.
4.7. Agents may operate in any city or location within Zimbabwe. The Agent acknowledges and agrees that distance, location, travel difficulties, or logistical issues shall not constitute a valid excuse for any delay in payment, return of goods, or performance of obligations under these Terms.
4.8. The Agent undertakes to handle all goods with due care and shall comply with all reasonable instructions issued by the Company in relation to the handling, storage, and return of goods.
Payments, Defaults, Penalties & Enforcement
5.1. The Agent undertakes to pay the Company the full base price of the goods and/or to return any unsold goods on or before the applicable deadline specified for each order.
5.2. Where an Agent makes payment of the base price after the deadline, the Agent shall not receive any points, rank progression, or performance credit in respect of such order or sale, regardless of whether the goods were ultimately sold.
5.3. Where an Agent returns goods or makes payment after the deadline, the Company may, without prejudice to any other rights:
- (a) downgrade the Agent to the previous rank or level
- (b) suspend the Agent's account
- (c) subject the Agent's account to administrative review
5.4. Following such review, the Company shall have the sole discretion to determine whether the Agent's account shall be reinstated, remain suspended for a defined period, or be subject to further restrictions.
5.5. Any Agent who is three (3) days or more late after the applicable deadline in paying the base price or returning the goods shall have their account automatically suspended.
5.6. If, following such suspension, the Agent continues to fail, refuse, or neglect to pay the base price or return the goods, the Company reserves the right to institute legal proceedings or take any other lawful recovery action against the Agent, at the Agent's cost.
5.7. Any Agent who repeatedly defaults, abuses the system, or demonstrates a pattern of non-compliance shall have their account permanently terminated and banned from the platform.
5.8. The Company reserves the right to freeze, restrict, or disable any account while any investigation, review, or enforcement process is ongoing.
Prohibited Conduct & Abuse of the Platform
6.1. The Agent undertakes to use the platform, services, and goods strictly in accordance with these Terms and all applicable laws.
6.2. Without limitation, the following actions are strictly prohibited:
- (a)Selling, transferring, renting, lending, or otherwise allowing any other person to use an Agent's account
- (b)Creating accounts for other persons or operating multiple accounts, whether directly or indirectly
- (c)Providing false, misleading, or incomplete information to the Company, including in relation to identity, orders, goods, or transactions
- (d)Falsely claiming that goods are lost, stolen, damaged, or unsellable
- (e)Attempting to manipulate, interfere with, or tamper with the ranking system, points system, deadlines, or any operational or technical feature of the platform
- (f)Using the platform, the Company's goods, or services for any fraudulent, dishonest, deceptive, or illegal purpose
- (g)Abusing, exploiting, or attempting to circumvent any rule, procedure, or safeguard implemented by the Company
6.3. Any breach of this Section shall constitute serious misconduct and shall entitle the Company, without limitation and without prejudice to any other rights, to suspend or permanently terminate the Agent's account, confiscate or recover goods, cancel orders, and/or institute legal proceedings.
Limitation of Liability, No Guarantee & Assumption of Risk
7.1. The Agent acknowledges and agrees that the Company does not guarantee that any goods will be sold, that any profit will be made, or that the Agent will achieve any particular level of success or income through the use of the platform or participation in the Company's program.
7.2. The Company provides the platform, goods, and services on an "as is" and "as available" basis and makes no warranties or representations, whether express or implied, regarding marketability, demand, or suitability of the goods for the Agent's intended purposes.
7.3. The Agent participates in the program and uses the platform voluntarily and at their own commercial risk. All business decisions, sales methods, pricing to customers, and credit arrangements are made solely by the Agent.
7.4. The Company shall not be responsible or liable for:
- (a)any losses, damages, or expenses suffered by the Agent due to failure to sell goods, customer non-payment, or business decisions made by the Agent
- (b)any indirect, incidental, consequential, or special damages, including loss of profit, loss of business, or loss of opportunity
- (c)any delay, failure, or interruption of the platform, website, communication systems, or reminder notifications, whether due to technical, network, or other causes
7.5. Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under the laws of Zimbabwe.
Suspension and Termination
8.1. The Company reserves the right, at its sole discretion and without prejudice to any other rights, to suspend or terminate an Agent's account, restrict access to the platform, cancel orders, or impose limitations where the Agent:
- (a) breaches any provision of these Terms
- (b) fails to pay any base price or return any goods when due
- (c) engages in prohibited conduct, abuse, or misconduct
- (d) is reasonably suspected of fraud, dishonesty, or system abuse
8.2. Suspension or termination of an account shall not release the Agent from any outstanding obligations, including but not limited to the obligation to pay all outstanding base prices, return all goods, and/or compensate the Company for any losses.
8.3. The Company shall retain the full right, notwithstanding any suspension or termination, to pursue recovery, institute legal proceedings, or take any lawful enforcement action to recover goods, money, or damages owed to the Company.
8.4. Upon termination, the Agent shall immediately lose all rights to use the platform, and any points, rank, or benefits associated with the account shall be forfeited without compensation.
8.5. The Company shall not be liable to the Agent for any loss, damage, or consequence arising from any suspension or termination carried out in accordance with these Terms.
Intellectual Property & Brand Rights
9.1. All rights, title, and interest in and to the website, platform, system, content, logos, trademarks, trade names, designs, text, images, photographs, graphics, software, and all other materials provided by or through the Company (collectively, the "Intellectual Property") are and shall remain the exclusive property of Capital-Free Ventures or its licensors.
9.2. Nothing in these Terms shall be construed as granting the Agent any ownership rights or proprietary interest in any of the Company's Intellectual Property.
9.3. The Company grants the Agent a limited, revocable, non-exclusive, non-transferable license to use the Company's name, product images, and marketing materials made available on the platform solely for the purpose of marketing and selling the Company's goods.
9.4. The Agent shall not use the Company's Intellectual Property:
- (a) for any purpose other than selling the Company's goods
- (b) in any misleading, deceptive, or unlawful manner
- (c) in any way that may harm, dilute, or damage the Company's reputation or brand
- (d) in connection with any other business, product, or service
9.5. The Company reserves the right to withdraw or restrict the Agent's permission to use any Intellectual Property at any time, with or without notice.
9.6. Any unauthorized use, copying, modification, distribution, or misuse of the Company's Intellectual Property shall constitute a serious breach of these Terms and may result in suspension or termination of the Agent's account and legal action.
Governing Law & Dispute Resolution
10.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe.
10.2. The Agent irrevocably agrees that all disputes, claims, or legal proceedings arising out of or in connection with these Terms, the platform, the goods, or the relationship between the Agent and the Company shall be subject to the exclusive jurisdiction of the courts of Zimbabwe.
10.3. The Agent waives any objection to such jurisdiction on the grounds of venue, inconvenience, or any similar basis.
Changes to Terms & Notices
11.1. The Company reserves the right to amend, modify, update, or replace these Terms and Conditions at any time.
11.2. Any such changes shall become effective upon being posted on the platform or communicated to Agents via email, account notification, or any other reasonable means.
11.3. It is the Agent's responsibility to regularly review these Terms and any notices or notifications issued by the Company.
11.4. Continued use of the platform after any changes to the Terms shall constitute acceptance of the updated Terms.
By using our platform, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
